Full Terms of Service
1. Introduction
Welcome to Cropty Wallet, a custodial cryptocurrency wallet service operated by Coinscatch (Private) Limited (“Cropty”, “we”, “our”, “us”). These Terms of Service (“Terms”) form a legally binding agreement between you (“User”, “you”, “your”) and Cropty, governing your access to and use of the Cropty Wallet mobile application, web interface, browser extension, and related services.
By creating an account, accessing, or using Cropty Wallet, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree, you must immediately cease using the Service. These Terms supersede all prior oral or written understandings related to your use of Cropty Wallet.
2. Our Role and Service Scope
Cropty provides custodial storage and digital asset management services. We securely hold supported cryptocurrencies on behalf of our users and facilitate transfers, loans, and yield-based products. Cropty acts solely as a technological and custodial service provider, not as a financial intermediary, exchange, or brokerage.
Cropty does not directly execute fiat or crypto conversions, swaps, or trades. These functions are performed exclusively by authorized third-party providers (e.g., exchanges, liquidity partners, or payment processors). Cropty may transmit limited user or transactional data to such partners solely for the purpose of executing transactions requested by the user. Cropty assumes no liability for any delays, errors, or losses caused by third-party providers.
2A. Regulatory and Compliance Status
Cropty Wallet is a custodial crypto-asset service operated by Coinscatch (Private) Limited, a company incorporated under the laws of Sri Lanka. While the Service is operated from Sri Lanka, Cropty applies, on a risk-based and best-efforts basis, anti-money laundering, counter-terrorist financing, sanctions compliance, customer due diligence, travel rule, fraud prevention and financial crime controls taking into account the laws, regulations, regulatory guidance, enforcement practices and supervisory expectations of jurisdictions with developed, strict or otherwise relevant crypto-asset, payments, sanctions or financial crime regulatory frameworks.
Such jurisdictions may include, without limitation:
- the European Union (including all Member States), including Directive (EU) 2018/843 (5th Anti-Money Laundering Directive, “AMLD5”), Regulation (EU) 2023/1113 on information accompanying transfers of funds and certain crypto-assets (the “Transfer of Funds Regulation”), Regulation (EU) 2023/1114 on Markets in Crypto-Assets (“MiCA”), and Regulation (EU) 2024/1624 (EU Anti-Money Laundering Regulation, “AMLR”);
- the United Kingdom, including the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017, as amended, and related Financial Conduct Authority (“FCA”) rules, guidance and supervisory requirements applicable to cryptoasset businesses;
- the United States, including the Bank Secrecy Act, the USA PATRIOT Act, Customer Identification Program (CIP) and Customer Due Diligence (CDD) requirements, and related rules, advisories and guidance issued by the Financial Crimes Enforcement Network (“FinCEN”) and other competent authorities;
- Canada, including applicable anti-money laundering, anti-terrorist financing and virtual asset service requirements, including those administered by FINTRAC and other competent authorities;
- Japan, including the Payment Services Act, the Act on Prevention of Transfer of Criminal Proceeds, and related registration, AML/CFT and reporting obligations applicable to crypto-asset service providers;
- South Korea, including the Act on Reporting and Use of Certain Financial Transaction Information and related AML/CFT obligations applicable to virtual asset service providers;
- Switzerland, including the Anti-Money Laundering Act and related FINMA rules, ordinances and guidance applicable to financial intermediaries and virtual asset activities;
- the United Arab Emirates, including applicable federal AML/CFT legislation and, where relevant, rules, guidance and supervisory requirements issued by competent authorities, including VARA, ADGM, DFSA and other relevant bodies;
- Bahrain, including applicable laws, regulations and Central Bank of Bahrain rules relating to crypto-asset services and AML/CFT compliance;
- Israel, including applicable anti-money laundering, financial services and virtual asset compliance laws, regulations and regulatory guidance;
- the Philippines, including applicable Bangko Sentral ng Pilipinas (BSP) rules and AML/CFT requirements relating to virtual asset service providers;
- South Africa, including applicable Financial Intelligence Centre, AML/CFT and crypto asset regulatory requirements.
The above list is not exhaustive. Cropty may also take into account and comply with the laws, regulations, regulatory guidance, court orders, law enforcement requests, sanctions rules, licensing expectations and compliance standards of any other jurisdiction that Cropty reasonably determines to be relevant to its business, services, counterparties, infrastructure providers, transaction flows, users, digital assets, banking channels, payment partners, blockchain activity or legal and regulatory risk exposure.
By using the Service, you acknowledge and agree that Cropty may apply compliance controls, customer due diligence, enhanced due diligence, sanctions screening, wallet screening, travel rule checks, source-of-funds verification, source-of-wealth verification, transaction monitoring, account restrictions, temporary holds, delayed settlement, delayed withdrawals, refusal of transactions and other risk mitigation measures modelled on, informed by, or reasonably derived from the legal and regulatory frameworks described above, in addition to the laws of Sri Lanka and any other laws or regulatory requirements that may apply to Cropty or to any transaction, user, asset or service.
Nothing in these Terms shall be interpreted as a representation, warranty or undertaking that Cropty is licensed, registered, approved, authorised or otherwise permitted to operate in every jurisdiction referenced above. References to any jurisdiction are made solely to explain the compliance standards that Cropty may apply in connection with the Service.
2B. No Representation as to Availability or Licensing
The availability of the Service in any country, region or territory does not constitute a representation or warranty that the Service is lawful, appropriate, available, licensed or authorised in that jurisdiction. You are solely responsible for determining whether your access to and use of the Service is lawful under the laws applicable to you, including the laws of your place of residence, nationality, incorporation, establishment, physical location or tax residence.
Cropty may, at any time and without prior notice, restrict, suspend, refuse or terminate access to the Service in any jurisdiction, or in relation to any user, transaction, asset, wallet address, device, IP address or activity, where Cropty considers such restriction necessary or appropriate for legal, regulatory, sanctions, fraud prevention, AML/CFT, licensing, banking, payment or risk management reasons.
3. Account & Security
To access Cropty Wallet, you must create an account and provide accurate, complete, and current information. You are solely responsible for safeguarding your login credentials, two-factor authentication codes, and recovery keys. Any activity performed under your account is deemed to be authorized by you.
You must promptly notify Cropty of any unauthorized access, suspected compromise, or breach of security. Cropty reserves the right to suspend or restrict access to your account if it detects unusual or potentially fraudulent activity. You acknowledge that the security of your devices and network connections remains your sole responsibility.
3A. Identity Verification and Compliance Information
Cropty may require you, at onboarding or at any later time, to provide identification data, compliance information and supporting documentation, and to complete verification or re-verification procedures as a condition of access to all or part of the Service.
You must ensure that all information and documents submitted to Cropty are accurate, complete, current, authentic and not misleading. Failure to provide requested information in a timely manner may result in delayed onboarding, refusal of transactions, frozen funds, account restrictions or account termination.
4. Privacy & Data Handling
Cropty is committed to protecting your privacy and handling your personal data responsibly. We collect and process only the information necessary to operate, maintain, and improve the Service. Your data will not be sold, rented, or shared with unrelated third parties for marketing purposes.
However, certain information (e.g., wallet addresses, transaction amounts, and device data) may be shared with regulated third-party partners solely for transaction execution, liquidity provision, or compliance purposes. We may also disclose data to law enforcement authorities when legally required to do so. Details are outlined in our Privacy Policy.
4A. Compliance-Related Data Processing and Sharing
Without limiting the Privacy Policy, you acknowledge and agree that Cropty may collect, process, analyse, store and share personal data, transaction data, wallet addresses, blockchain metadata, device information, geolocation indicators, communications and compliance documents for AML/KYC, sanctions screening, fraud prevention, security, risk management, regulatory reporting, travel rule compliance and law enforcement cooperation purposes.
Such data may be transferred to and processed by service providers, compliance vendors, analytics providers, payment partners, banking partners, liquidity providers, exchange partners, regulators and public authorities in Sri Lanka and in other jurisdictions where necessary for the purposes described in these Terms and the Privacy Policy.
5. Wallet Services
Cropty Wallet enables users to store, send, and receive supported digital assets. Additional functionalities include crypto-backed loans, yield and staking products, donation tools, and access to educational and customer support services.
While Cropty facilitates integrations with third-party providers, it does not guarantee their availability or performance. All transactions remain subject to network fees, partner terms, and blockchain conditions beyond Cropty’s control.
6. Crypto Loans
Cropty allows users to obtain loans backed by digital assets as collateral (“Crypto Loans”). Loan terms, including interest rates, duration, and loan-to-value (LTV) ratios, are specified at the time of initiation. Collateral values fluctuate based on market conditions, which may trigger partial or full liquidation to maintain contractual risk levels.
By using Cropty’s loan services, you authorize automatic liquidation mechanisms in the event of market volatility or margin calls. Cropty is not liable for any financial losses resulting from liquidations or market movements. All loan-related actions are executed transparently, and applicable fees are disclosed in advance.
7. Yield Products (Deposits & Staking)
Cropty offers users the ability to earn passive income through deposit and staking programs. By depositing eligible assets into yield programs, you agree that Cropty or its partners may use such assets for liquidity provision, staking, or other blockchain-related activities.
Returns are variable and not guaranteed. Past performance does not represent future results. Users acknowledge that participation in yield programs involves inherent risks, including but not limited to protocol failure, third-party insolvency, and smart contract vulnerabilities.
8. Third-Party Providers
Certain features of Cropty Wallet, such as swaps, conversions, or fiat gateways, are powered by independent third-party service providers. By using these features, you authorize Cropty to transmit relevant transaction data to such providers for execution. These providers operate under their own terms and privacy policies, which we encourage you to review.
Cropty is not liable for losses, delays, or technical issues resulting from third-party systems, networks, or regulatory actions. Your continued use of these integrations constitutes acknowledgment and acceptance of associated third-party risks.
8A. Compliance Requirements of Third-Party Providers
You acknowledge that certain third-party providers integrated with Cropty, including exchanges, liquidity providers, payment processors, custody partners, banking partners and compliance vendors, may impose their own legal, regulatory, AML/KYC, sanctions, onboarding, transaction monitoring and documentation requirements. Cropty may collect and share information with such providers where reasonably necessary to enable, process, review, settle, reject or reverse a transaction or service request.
Cropty may refuse, delay, suspend or cancel a transaction or service where required by the controls, restrictions, policies or compliance decisions of such third-party providers.
9. Anti-Money Laundering, KYC, Sanctions Compliance and Cooperation with Authorities
9.1. Cropty maintains and implements internal policies, procedures and controls designed to detect, prevent and investigate money laundering, terrorist financing, fraud, scams, sanctions evasion, market abuse, unlawful source of funds, stolen assets, use of mixers or obfuscation tools, and other illicit or high-risk activity.
9.2. Cropty may, at any time and without prior notice, carry out identity verification (KYC), customer due diligence (CDD), enhanced due diligence (EDD), sanctions screening, politically exposed person (PEP) screening, adverse media checks, transaction monitoring, blockchain analytics, wallet screening, source-of-funds review, source-of-wealth review, geolocation analysis, device risk analysis and any other review that Cropty considers necessary or appropriate.
9.3. Cropty may request from you any information or documents that it reasonably considers necessary to verify your identity, your authority to act, your residence, the beneficial ownership of assets, the legitimacy of a transaction, the source of funds, the source of wealth, the purpose of a transaction, or your compliance with applicable law. Such information and documents may include, without limitation:
- passport, national ID card or driver’s licence;
- proof of address;
- selfie, liveness check or video verification;
- bank statements, payslips, tax returns or tax certificates;
- employment documents or proof of business activity;
- exchange statements, wallet history or blockchain transaction evidence;
- agreements, invoices, sale documents or other records explaining the origin or intended use of funds;
- corporate records, shareholder registers and beneficial ownership information.
9.4. Cropty may require original documents, certified copies, notarised translations, apostilled documents, live video verification, or any enhanced form of evidence that Cropty considers necessary to authenticate documents, confirm identity, establish ownership or control, or satisfy applicable AML/CFT, sanctions, fraud prevention or compliance requirements.
9.5. Cropty may apply automatic or manual compliance reviews where, including without limitation:
- a user is new, partially verified or not verified;
- a deposit, withdrawal, transfer or series of transactions exceeds internal thresholds;
- activity appears unusual, high-risk or inconsistent with the user profile;
- a wallet address, transaction route, counterparty or asset is associated with sanctions exposure, fraud indicators, mixers, darknet activity, theft, hacks or other red flags;
- Cropty is required to do so by law, regulatory expectation, partner requirements, banking requirements or risk controls.
9.6. During any review, Cropty may temporarily freeze, hold, restrict, quarantine, decline, delay or cancel access to funds, transactions, services, rewards, loans, yield products or account functionality, in whole or in part, until the review has been completed to Cropty’s satisfaction or until Cropty is legally permitted to act otherwise.
9.7. Cropty shall have no obligation to process any withdrawal, transfer, refund, release, conversion or disposal of assets that are subject to an AML/KYC, sanctions, fraud or legal review. Cropty may decline to return funds to the original source, to another address, or to any third party unless and until identity, ownership, source of funds, purpose and legal permissibility have been reasonably established.
9.8. You acknowledge that Cropty may be legally prohibited, operationally unable or reasonably unwilling to disclose specific reasons for a review, restriction, hold, report, filing, escalation or refusal of a transaction where doing so could violate law, prejudice an investigation, compromise security, facilitate evasion of controls or otherwise create legal or regulatory risk.
9.9. Cropty may share user data, transaction records, account history, device information, wallet information, blockchain analytics results and related materials with regulators, courts, law enforcement authorities, financial intelligence units, sanctions authorities, self-regulatory bodies, banking partners, payment providers, liquidity providers, compliance vendors, auditors and other competent or relevant third parties where Cropty considers this necessary or appropriate to comply with law, regulation, legal process, risk management obligations or legitimate crime prevention objectives.
9.10. By using the Service, you expressly consent to the compliance measures described in this Section and agree that any hold, freeze, delay, restriction, refusal, enhanced review or request for documents arising from such measures shall not, by itself, constitute a breach of these Terms by Cropty.
9A. Freezing, Holds, Delays and Non-Reversal of Transactions
9A.1. You acknowledge that blockchain transactions are generally irreversible and that Cropty may have limited or no ability to reverse, recover, amend, reroute or cancel transactions once broadcast to the relevant blockchain network.
9A.2. Where Cropty determines that a transaction, deposit, withdrawal, transfer or account activity requires review for AML/KYC, sanctions, fraud, legal, regulatory or security reasons, Cropty may delay crediting, freeze assets, postpone withdrawals, refuse internal transfers, suspend services, or otherwise restrict the relevant assets or account pending review.
9A.3. Cropty is not obliged to immediately return, release or re-route funds merely because a user requests it, including where such funds are under review or where Cropty has not yet verified the identity of the user, the ownership of the assets, the source of funds, the purpose of the transaction or the legal permissibility of acting on the request.
9A.4. Cropty may refuse to return or release assets where doing so could, in Cropty’s reasonable opinion:
- conflict with AML/CFT, sanctions, fraud prevention or reporting obligations;
- prejudice an internal review or external investigation;
- facilitate money laundering, terrorist financing, sanctions evasion, fraud or dissipation of suspicious assets;
- expose Cropty or its partners to legal, regulatory, banking, counterparty or reputational risk.
9A.5. Cropty does not guarantee that any compliance review will be completed within a fixed timeframe. Review periods may depend on the complexity of the case, the responsiveness of the user, the availability of evidence, blockchain tracing results, partner responses, legal requirements and directions from competent authorities.
9A.6. Following completion of a review, and subject to applicable law, court orders, regulatory instructions, law enforcement requests, sanctions rules, partner restrictions and Cropty’s internal policies, Cropty may decide to release assets, continue restrictions, require further information, return assets where legally permitted, close the account, or take any other action that Cropty reasonably considers appropriate.
10. Bug Bounty & Security
We encourage responsible disclosure of potential security vulnerabilities through our official Bug Bounty Program. To report a security issue, contact us at support@cropty.io. Participants must not exploit or publicly disclose vulnerabilities prior to their resolution.
Any misuse, unauthorized access, or exploitation of system weaknesses is strictly prohibited and may lead to immediate termination of access, forfeiture of rewards, and legal action.
11. Fees & Charges
All applicable fees for Cropty services, including transactions, withdrawals, loans, and yield programs, are disclosed within the application before confirmation. Fees may vary by asset type, network conditions, or third-party integration costs. Cropty reserves the right to modify fees at its discretion with reasonable prior notice.
In some cases, fees may be deducted automatically in the same currency as the transaction. Users are responsible for verifying and accepting the fees before confirming each operation.
12. User Obligations
You agree to comply with all laws, regulations, sanctions programs, tax rules and reporting obligations applicable to your access to and use of the Service.
You must not use the Service in connection with unlawful conduct, including money laundering, terrorist financing, fraud, scams, sanctions evasion, market manipulation, stolen assets, unauthorised access, ransomware activity or any transaction involving proceeds of crime.
You agree to cooperate fully and promptly with any request for information, documentation, verification, explanation or other compliance measure reasonably required by Cropty. You further agree that Cropty may rely on your failure or refusal to cooperate as grounds to suspend or terminate your account, freeze assets, refuse transactions, or make disclosures to competent authorities where permitted or required by law.
13. Disclaimers & Limitation of Liability
To the fullest extent permitted by law, Cropty Wallet and its affiliates provide all services on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied. Cropty does not guarantee uninterrupted operation, accuracy of data, or availability of third-party integrations.
Cropty is not liable for indirect, incidental, special, or consequential damages, loss of profit, data, or goodwill. In no event shall Cropty’s aggregate liability exceed the total amount of verified direct losses arising from Cropty’s proven gross negligence or willful misconduct.
14. Suspension, Restriction and Termination
Cropty may suspend, restrict, place on hold, freeze, deactivate or terminate your account, access to the Service, or access to any assets or transactions, immediately and without prior notice, where Cropty reasonably considers such action necessary or appropriate for compliance, AML/KYC, sanctions, fraud prevention, legal, regulatory, litigation, law enforcement, security, operational, banking, payment or reputational risk reasons.
Where technically, contractually and legally possible, Cropty may, after completion of the relevant review, determine whether assets can be released, returned, transferred, retained, or otherwise dealt with. Cropty does not guarantee that any funds will be returned immediately, automatically or without verification.
Termination of access does not relieve the user of any outstanding obligations or liabilities incurred prior to termination.
15. Updates to Terms
Cropty reserves the right to modify or update these Terms periodically. Material updates will be communicated via email or in-app notifications. Continued use of the Service following such updates constitutes your acceptance of the revised Terms.
16. Governing Law
These Terms and any related disputes shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the competent courts of Sri Lanka for all disputes arising out of or relating to these Terms or your use of Cropty Wallet.
